This Website is owned and operated by Expanship ("Company", "we," "Expanship," "our," or "us"). All references to "Company," "we," "Expanship," "our," or "us" throughout these Terms refer to this entity, including its affiliates, successors, and assigns. The terms "you" or "yours" refer to the user of our Website.

By visiting, using, viewing, or accessing the Website, and/or any content or products or services contained on, accessible or downloadable through this Website, whether available for free or by purchase, accessing the Website, or otherwise signing up to receive any of our emails, newsletter, social media posts or content or by purchasing any products from the Website if that option is offered, you are voluntarily agreeing to these Terms & Conditions and accept and agree to be bound and abide by them, and you are legally agreeing that you have read, understand, and fully consent to the terms contained below in this Agreement.

You are hereby directed to review our Privacy Policy and General Disclaimer which is incorporated by reference into these Terms & Conditions. These Terms & Conditions, along with the Privacy Policy and General Disclaimer of the Website, govern your access to and use of the Website. 2. Definitions

For the purposes of these Terms and Conditions ("Terms"), the following expressions shall have the meanings assigned to them below. These definitions apply regardless of whether the terms are capitalized or presented in lowercase form elsewhere in this Agreement.

2.1. Person means any individual, sole proprietorship, partnership, limited liability partnership, corporation, joint venture, association, trust, unincorporated organization, government, or governmental agency or political subdivision thereof, or any other legal or commercial entity, whether acting individually or collectively.

2.2. Natural Person refers to a human being, as distinct from a legal or corporate entity. Wherever the context requires an action or obligation to be performed by a natural person, it is implied that such action must be conducted by an individual with legal capacity under applicable law.

2.3. Corporate Person means any entity, body corporate, organization, or association that is recognized as a legal entity under applicable law, and which is not a natural person. This includes corporations, limited liability companies, partnerships, government-owned entities, and other similar legal entities.

2.4. Customer, User, You, Your, and Company refer to the individual or legal entity, whether a natural person or corporate person, that accesses, uses, registers with, or engages Expanship for any of its Services. These terms are used interchangeably in this Agreement and include your employees, agents, representatives, or anyone else acting on your behalf or under your instructions.

2.5. We, Us, Our, Expanship, and Its refer to the Company as defined in Section 1 of these Terms. In situations where certain services are provided through a regulated, licensed, or jurisdiction-restricted framework, these terms may be understood to encompass Expanship's operational role in conjunction with, in consultation with, under instruction from, or through partnerships with third-party service providers, agents, or licensed intermediaries.

2.6. Partners, Third-Party Service Providers, Agents, and Intermediaries refer to independent entities or individuals who are not employees of Expanship but who may be engaged by Expanship to assist in delivering part or all of the Services offered to Users.

2.7. Transfer-in means the process by which a User engages Expanship to receive control, management, or oversight of an existing company, entity, or account previously held with another service provider.

2.8. Transfer-out means the process whereby a User formally instructs Expanship to relinquish control, resign from any authorized position, or transfer responsibility of an existing company, entity, or account to another service provider or to the User directly.

2.9. User Content means all data, documents, files, communications, media, or any other materials submitted, uploaded, posted, transmitted, stored, or otherwise made available by the User through Expanship's website, communication channels, or during the course of service delivery.

2.10. Processes refer to all procedural steps and actions taken by Expanship in fulfilling any part of its Services. All such Processes shall be initiated only after full receipt of applicable fees and confirmation of successful payment.

2.11. Payment Method means a current, valid, and accepted form of payment provided by the User to Expanship for the purpose of fulfilling financial obligations under these Terms.

3. Agreement Between User and the Company

3.1. The Website and applications are composed of various web pages and sections operated by the Company (as defined in Section 1), incorporated under the laws of Delaware.

3.2. The Website is offered to you, conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Website constitutes your agreement to all such terms, conditions, and notices.

3.3. By accessing, using, or browsing the Website or Services, you expressly acknowledge and agree to the following:

  • Acceptance of the Agreement: Your use of the Website or Services constitutes your agreement to be bound by these Terms, as well as all related policies incorporated herein by reference.
  • Electronic Consent: By using the Website or Services, you consent to the terms of this Agreement electronically.
  • Entire Agreement: This Agreement, together with the Privacy Policy and General Disclaimer, represents the entire understanding between you and Expanship concerning your use of the Website and Services.

4. Scope of Services

4.1. Expanship provides a range of corporate, compliance, consulting, banking support, and ancillary business services, which may be rendered either directly by Expanship or through its appointed partners, agents, or third-party service providers.

4.2. Certain services offered by Expanship may only be accessed as part of a pre-defined package. Expanship reserves the exclusive right to determine the configuration of such packages.

4.3. In providing its services, Expanship and its partners shall be entitled to act solely upon the instructions received from the individual designated as the "Owner" of the Client's platform profile.

4.4. The Client agrees to provide, upon request, all documents, declarations, and supporting information required by Expanship or its partners.

4.5. The Client shall retain and preserve all corporate records, documentation, and supporting evidence in the manner prescribed by applicable laws.

4.6. All Clients are required to undergo a mandatory internal due diligence review. Acceptance for any service shall be conditional upon the Client's successful clearance through this review.

4.7. With respect to incorporation services, Expanship assists in establishing legal entities in various jurisdictions, subject to local laws and licensing requirements.

4.8. Registered Agent and Registered Address services are provided either directly or through licensed agents in the relevant jurisdictions.

4.9. In relation to banking support, Expanship facilitates the introduction to financial institutions and coordinates documentation during the account opening process. However, Expanship does not guarantee account approval or processing time.

4.10. Where nominee director, shareholder, or officer services are provided, such appointments are made subject to strict contractual and compliance safeguards.

4.11. Corporate Service Provider (CSP) services are offered in certain jurisdictions, either directly or through duly authorised partners.

4.12. Expanship reserves the right to decline or suspend any service if it reasonably believes that the engagement may expose the company to legal, regulatory, or reputational risk.

5. Eligibility

5.1. Legal Age and Authority

By accessing or using our Website and Services, you represent and warrant that:

  • You are at least 18 years old or have reached the legal age of majority in your jurisdiction.
  • You have the legal authority and capacity to enter into this Agreement and comply with its terms.
  • If you are accessing or using the Website or Services on behalf of an entity, you have the legal authority to bind that entity to these Terms.

5.2. Prohibited Users

The following individuals or entities are not eligible to use our Website or Services:

  • Individuals or entities barred from accessing our Services under applicable laws or regulations.
  • Users residing in jurisdictions where the use of our Services is prohibited.
  • Any individual or entity previously suspended or terminated by Expanship for violations of these Terms or other policies.

5.3. Compliance with Laws

By using the Website and Services, you confirm that your use complies with all applicable laws and regulations.

5.4. Geographic Limitations

Services are not available to individuals or entities located in Cuba, Libya, North Korea, Iran, Syria, Russia, or any other country subject to U.S. embargoes or trade restrictions, or listed on OFAC sanctions lists.

5.5. Prohibited Industries and Business Activities

Expanship's Services may not be used for illegal activities, unauthorized multi-level marketing, gambling, adult entertainment, firearms sales, or businesses promoting hate or harm.

5.6. Expanship's Discretion

Expanship reserves the right to deny access to its Services even if all eligibility criteria are met.

6. Materials Provided by You

6.1. By submitting any materials to Expanship, you represent and warrant that you have all necessary rights to provide those materials and that they are accurate and lawful.

6.2. Materials you may be required to provide include personal identification documents, proof of address, corporate documentation, and financial information.

6.3. Expanship will treat your materials as confidential and will use commercially reasonable efforts to protect them.

6.4. By submitting materials, you grant Expanship a non-exclusive, worldwide, royalty-free license to use them for providing the Services.

6.5. You agree not to submit any materials that are false, fraudulent, or contain harmful code.

6.6. You agree to indemnify Expanship for any claims arising from your submitted materials.

6.7. Expanship reserves the right to reject or suspend processing any materials that do not meet requirements.

6.8. You must keep your credentials safe and notify us immediately of any unauthorized access.

7. User's Obligations

By accessing or using the Website and Services, you acknowledge and agree to:

  • Comply with all applicable laws and regulations, including AML, CTF, data protection, and tax laws.
  • Provide accurate, complete, and current information.
  • Protect your account credentials and notify Expanship of any unauthorized access.
  • Use the Website and Services only for lawful purposes.
  • Cooperate with compliance and verification requests.
  • Pay all fees and taxes associated with the Services.
  • Notify Expanship of any changes to your circumstances.
  • Respect intellectual property and proprietary rights.

8. Prohibited Use

You agree not to use the Website or Services to:

  • Engage in unlawful activities, fraud, or money laundering.
  • Introduce harmful code or attempt unauthorized access to systems.
  • Provide false or misleading information.
  • Infringe intellectual property rights.
  • Create or distribute prohibited content.
  • Use automated tools to extract data without permission.
  • Violate third-party rights or harass others.
  • Use the Services if subject to sanctions or restrictions.

9. AML and CTF Compliance

Expanship is committed to adhering to all applicable Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF), and Know-Your-Customer (KYC) regulations. As a user, you agree to:

  • Provide accurate information and documentation for compliance.
  • Ensure all assets and funds have lawful origins.
  • Submit to verification and due diligence procedures.
  • Provide transparency about your business activities.

Expanship does not accept cash payments and reserves the right to monitor and report suspicious activities.

10. Required Information and Documents

You may be required to submit personal identification documents, proof of address, contact information, corporate documentation (if applicable), and beneficial ownership information. Expanship reserves the right to request additional documentation and may suspend services if required information is not provided.

11. Fees and Payment Terms

11.1. Fees are published on our website and may vary by jurisdiction and service type.

11.2. Fees may be one-time or recurring. Recurring fees require timely renewal to avoid legal consequences.

11.3. You agree to reimburse Expanship for third-party expenses and may be charged administrative fees for services outside normal scope.

11.4. Certain services are only available in pre-defined packages.

11.5. Expanship may revise fees at any time. Price changes will not affect prepaid services until the end of the paid period.

11.6. You are responsible for all applicable taxes.

11.7. Late payment penalties of 2% per month apply to unpaid invoices.

11.8. Expanship maintains a no hidden charges policy.

11.9. Invoice due dates are generally seven (7) calendar days from issuance. Services commence only upon full payment.

11.10. Accepted payment methods include direct bank transfer and card payments. Cryptocurrencies, cash, and cheques are not accepted.

11.11. Deposits may be required for specific services and will be refunded within 60 days of service termination if unclaimed.

12. Renewal of Services

12.1. Certain services are time-bound and require renewal. Failure to renew may result in service interruption or deregistration.

12.2. The responsibility to initiate renewal rests solely with the Client. Expanship is not obligated to notify you of approaching deadlines.

12.3. Renewal timelines and fees vary by jurisdiction and service type.

12.4-12.6. For bundled services, Expanship may invoice separately for services due before the package renewal date, or invoice the full package at the earliest renewal date.

12.7-12.11. Automatic renewal may be available for certain services. You may cancel automatic renewal at any time by contacting hello@expanship.com.

12.12-12.13. Reversed payments will attract late payment penalties of 2% per month.

13. Termination or Suspension of Services

13.1. Expanship reserves the right to suspend or terminate your access to Services at any time, with or without notice.

13.2. Termination may result from misuse, abuse, or violations of these Terms.

13.3. Upon termination, your data may be deleted without further warning. All outstanding fees remain due.

13.4. Following termination, you must delete the Expanship app and destroy any platform-related materials.

13.5. No refunds will be issued for previously paid fees.

13.6. Unpaid obligations for more than 7 days may result in termination.

13.7. Upon termination, you must return or destroy all confidential information.

13.8. Expanship may terminate services if you no longer meet eligibility criteria.

13.9. To terminate your engagement, you must provide three months' written notice. A transfer-out fee of US$1,500 applies.

14. Availability of Website/Services

Expanship endeavors to make the Website and Services available continuously but does not guarantee uninterrupted availability. Scheduled maintenance, unscheduled interruptions, and third-party dependencies may affect availability. You are responsible for having contingency plans for critical business operations.

15. Intellectual Property Rights

All content on the Expanship website is the exclusive property of Expanship or its licensors. You are granted a limited, non-exclusive license to access and use the Website for personal use. You may not reproduce, modify, or distribute any content without prior written consent.

16. Links to Third-Party Websites

The Website may include links to third-party websites. Expanship does not endorse or take responsibility for the content, accuracy, or reliability of Third-Party Services. Your use of Third-Party Services is at your own risk.

17. User's Personal Responsibility

You agree to use the Website and Services lawfully and ethically. You are prohibited from data mining, introducing malware, reverse engineering, interfering with operations, or transmitting spam. You authorize Expanship to act on your behalf for legal or regulatory documents and agree to cooperate with investigations.

18. User Content

You retain ownership of User Content you submit but grant Expanship a non-exclusive, worldwide, royalty-free license to use it for providing Services. Expanship is not obligated to back up User Content. You are responsible for ensuring your User Content is accurate and lawful.

19. Delays

Delays in Services may occur due to circumstances beyond Expanship's control. You accept full responsibility for managing compliance deadlines. Expanship is not liable for fines, penalties, or losses arising from delays. You agree to bear all costs associated with delays caused by your failure to provide timely information.

20. Refund Policy

20.1. Partial refunds may be offered if services have not commenced, subject to deductions for processing and handling fees (minimum 33% total).

20.2. No refunds are issued once services have commenced, including for discontinuation, delays, or due diligence failures during service delivery.

20.3. A 30-day money-back guarantee may apply where explicitly stated during purchase.

20.4. Cancellation requests must be submitted through authorized channels.

20.5. Fraudulent chargebacks may result in service cancellation, entity dissolution, and legal action.

21. Post-Formation Information and Maintenance

You are solely responsible for all post-formation obligations including corporate maintenance, statutory filings, tax reporting, and annual renewals. Expanship may provide courtesy reminders but is not obligated to do so. Expanship is not responsible for any tax filings or payments on your behalf.

22. Warranties

Expanship provides its Website and Services on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. We do not warrant that Services will meet your requirements, be uninterrupted, or error-free.

23. Limitation of Liability

To the fullest extent permitted by law, Expanship disclaims liability for all damages arising from your use of our Services. Our total aggregate liability shall not exceed the amount you paid during the six months preceding the claim, or USD $100, whichever is lower.

24. Indemnification

You agree to indemnify, defend, and hold harmless Expanship from any claims, liabilities, damages, or costs arising from your breach of these Terms, your use of the Services, or your violation of any laws or third-party rights.

25. Governing Law and Jurisdiction

This Website is controlled by Expanship from its office in the State of Delaware, USA. The laws of Delaware govern these Terms. The state and federal courts in Dover, Delaware have exclusive jurisdiction over any disputes. Any claim must be initiated within one (1) year from when the cause of action arises.

26. Assignment

You may not assign your rights or obligations under these Terms without Expanship's written consent. Expanship may assign its rights without notice or consent.

27. Modifications to Terms and Services

Expanship reserves the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use constitutes acceptance of the updated Terms. Expanship may also modify its Services, packages, or pricing at any time.

28. Severability

If any provision of these Terms is found invalid or unenforceable, it shall be severed, and the remaining provisions shall continue in full force and effect.

29. Waiver

No failure or delay by Expanship in exercising any right shall constitute a waiver. Any waiver must be in writing and signed by an authorized representative.

30. Force Majeure

Expanship shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, pandemics, governmental actions, or technical disruptions.

31. Customer Complaint Policy

Complaints must be submitted in writing to hello@expanship.com. We will acknowledge receipt within five (5) business days and aim to resolve complaints within fifteen (15) business days. If you are dissatisfied with the resolution, you may request an escalation.

32. Entire Agreement

This Agreement constitutes the entire agreement between you and Expanship and supersedes all prior agreements regarding the subject matter.

33. Duty of Welfare Policy

Expanship is committed to fostering a culture of respect, equity, and inclusion. We have zero tolerance for discrimination, harassment, abuse, or violence. Any conduct that creates a hostile environment will not be tolerated and may result in termination of services or legal action.
